Overview

This role provides legal, operational, and administrative support to the China legal team. Responsibilities include legal research, contract management, dispute support, corporate governance, and coordination with internal and external stakeholders.

Responsibilities

1. Legal Research and Advisory Support

  • Conduct detailed legal research and analysis on PRC laws, regulations, and legal developments relevant to the company’s operations.
  • Monitor and assess regulatory changes and provide concise summaries with practical implications for internal stakeholders.
  • Monitor and track regulatory filings and corporate governance compliance requirements for PRC subsidiaries and representative offices.
  • Prepare legal memoranda, reports, and briefing materials to support senior legal counsel and business decision-making.
  • Support internal teams by coordinating legal input and ensuring timely and structured responses to business queries. 

2. Contract Drafting and Contract Management

  • Draft, review, and revise a wide range of commercial agreements, including customer, supplier, distribution, and service agreements, as well as NDAs and other standard documents.
  • Ensure consistency with approved templates, internal policies, and applicable legal requirements.
  • Lead the ongoing maintenance and enhancement of contract templates in collaboration with regional legal stakeholders.
  • Manage the contract lifecycle, including tracking execution, amendments, renewals, and terminations.
  • Maintain structured contract repositories and ensure proper documentation, version control, and audit readiness.

3. Litigation and Dispute Support

  • Support the handling of litigation, arbitration, and dispute matters in China in coordination with internal legal counsel and external advisors.
  • Organize and manage case files, including documentation, evidence, and correspondence.
  • Act as a key coordination point between internal stakeholders and external counsel to ensure alignment and timely execution of tasks.
  • Monitor case progress, deadlines, and deliverables, and support the preparation of internal reporting materials.

4. External Counsel and Vendor Management

  • Support the engagement and management of external legal counsel and service providers, including coordination of engagement terms and renewals.
  • Monitor legal spend, assist with budgeting, and review invoices to ensure alignment with agreed scope and cost expectations.
  • Maintain records of external vendors and ensure adherence to internal procurement and governance processes.

5. Operational and Administrative Support

  • Provide professional-level operational support to the China legal team, ensuring efficient workflows and coordination across stakeholders.
  • Assist with governance matters, including board and shareholder resolutions for PRC entities.
  • Facilitate document legalization, notarization, and translation, as needed.
  • Maintain and continuously improve legal documentation systems, databases, and knowledge management processes.
  • Support preparation of presentations, reports, and materials for China and global management.
  • Contribute to legal process improvements and initiatives aimed at enhancing efficiency, consistency, and scalability of legal support.
